LEGAL REQUIREMENTS

The steps below show the procedures for setting up a private company in Kenya under the COMPANIES ACT (Chapter 486 of the Laws of Kenya).

• Obtain approval to register the name of the company from the Registrar of Companies

• Obtain stamp duty on the Memorandum and Articles of Association and a Statement of the Nominal Capital at the Lands Office

• File a Declaration of Compliance with the Registrar of Companies as required under the Companies Act

• File Deed and details with the Registrar of Companies at the Attorney General’s Chambers

• Register with the Tax Department for a Personal Identification Number (PIN)

• Register with the VAT Office

• Apply for a business permit at the Municipal Council of Thika

• Apply for a trading / operational license

• Register with the National Social Security Fund (NSSF)

• Register with the National Hospital Insurance Fund (NHIF)

• Register for Pay As You Earn (PAYE)

• Buy a Company Seal, after a Certificate of Incorporation has been issued by the Registrar of Companies
